Sign your loan agreement

BORROWER: Acme Trading SA de CV (Acme Exports), a Mexican Sociedad Anónima de C.V. with tax identification AET-940312-K9A.

LENDER: lending0 Capital, LLC, a Delaware limited liability company.

1. Principal & Disbursement. Lender agrees to disburse to Borrower the principal amount of USDC $50,000 (the "Principal") on the Disbursement Date, less an origination fee of USDC 750, to the wallet designated by Borrower on the Base network.

2. Interest. The Principal shall bear simple interest at an annual percentage rate of 14.00% (the "APR"), calculated on the daily outstanding principal balance.

3. Repayment. Borrower shall repay the Principal and accrued interest in 12 consecutive monthly installments of USDC 4517.45, with the first installment due on 2026-06-01. Borrower may prepay in whole or in part at any time without penalty.

4. Currency. Loan-of-record currency is USD. Disbursement is in USDC on Base. Repayment may be made in USDC, USD via ACH, or MXN via SPEI. FX is applied at the published spot rate on the date of receipt, less 0.40%.

5. Personal guaranty. Each individual identified as a control person provides a limited recourse personal guaranty up to 12,500 USDC.

6. Events of default. Failure to make any installment within 10 days of its due date; insolvency, dissolution, or assignment for the benefit of creditors; material breach of representations.

7. Compliance. Borrower represents it is not on the OFAC SDN list, EU consolidated list, or UK HMT list, and that no UBO or control person is so listed. Borrower will notify Lender of any change in beneficial ownership ≥10% within 5 business days.

8. Governing law. Delaware. Disputes resolved by binding arbitration administered by JAMS.
